Terms and Conditions

These terms and conditions (“Terms”, “Agreement”) govern the use of the web design and development services (“Services”) provided by LeDesignAgency (“Company”, “us”, “we”, or “our”) to you (“Customer”, “you”, or “your”), pursuant to Australian consumer law.

1. Scope of Services – We will provide the Services described on our website, which may include web design and development, search engine optimization, business branding, and e-commerce website services. The specific scope of the Services will be set out in the contract between the parties.
2. Payment – We will provide you with a quote for the Services and a payment schedule. Payment must be made in accordance with the payment schedule, and we reserve the right to suspend or terminate the Services if payment is not received. If you buy the free website package, you are automatically binding yourself for 12 monthly payments for maintenance package at the price displayed at the time of singing up, per month. If you take the maintenance package by itself, you can cancel anytime before the end of the month.
3. Intellectual Property – Any intellectual property created as part of the Services, including but not limited to website designs, branding, and content, will be owned by you upon payment in full. We reserve the right to use any intellectual property created for marketing or promotional purposes.
4. Confidentiality – We will maintain the confidentiality of any information provided by you and will not disclose it to any third party, except as required by law or with your consent.
5. Warranties and Representations – We warrant that the Services will be provided with reasonable care and skill. You represent and warrant that any content provided by you for use in the Services does not infringe any intellectual property rights.
6. Limitation of Liability –

   To the maximum extent allowed by law, LEDESIGN GLOBAL PTY LTD (LeDesign Agency) will not be held responsible for any damages to the Customer, including but not limited to direct, indirect, special, punitive, incidental, or consequential damages. This includes losses such as business profits, interruptions, loss of programs or information, loss of goodwill, or the inability to use facilities or equipment, regardless of whether these issues arise from the negligence of LeDesign Agency or other circumstances.

   If liability cannot be excluded under the law, LeDesign Agency’s responsibility will be limited to the cost of re-supplying the service.

   The Customer agrees to indemnify LeDesign Agency against any third-party claims related to the services provided. This includes any direct, indirect, special, punitive, incidental, or consequential damages, such as loss of business profits, interruptions, loss of programs or information, goodwill loss, or inability to use facilities or equipment, even if these arise due to LeDesign Agency’s negligence.

   Additionally, the Customer agrees to indemnify and hold harmless LeDesign Agency, its subsidiaries, affiliates, officers, agents, partners, and employees from any damages, liabilities, actions, claims, demands, losses, costs, and expenses (including reasonable attorney fees, disbursements, and court costs) that may result from or be related to the Customer’s information or use of LeDesign Agency’s online marketing services.

7. Termination – Either party may terminate this Agreement by giving written notice to the other party. Termination will be effective upon receipt of notice.
8. Governing Law – This Agreement will be governed by and construed in accordance with the laws of Australia.
9. Dispute Resolution – Any disputes arising out of or in connection with this Agreement will be resolved by mediation in accordance with the Australian Commercial Dispute Centre’s Guidelines for Commercial Mediation.
10. Attribution – The website was designed by LeDesign Agency. The designer’s name and backlink should remain on the original website even if hosted by another provider or maintained by another design agency.
